H. Roger Mali

  • Focuses practice on complex corporate and real estate transactions, including sales and acquisitions, development agreements, construction contracts, infrastructure development, commercial leasing, environmental assessment, zoning matters, property management issues, tax deferred exchanges and other matters.

  • Represents lenders and borrowers with respect to multi-tiered loan transactions, construction financing, securitized loans, Fannie Mae loans, HUD loans, tax credit/tax investor loan transactions and mezzanine debt financing transactions.
     
     
  • Represents management companies and owners of golf course developments and other hospitality businesses with respect to various aspects of operations.

  • Structures complex forward and reverse like-kind exchange transactions.
     
  • Represents borrowers and guarantors with respect to complex loan restructuring transactions, workouts and property foreclosure matters.

  • Represents borrowers and loan servicers with respect to loan defeasance transactions.

  • Represents builders, developers, contractors, consultants and engineers with respect to drafting and negotiating contracts, including municipal contracts.

  • Represents developers, receivers and property management companies with respect to sale, acquisition and management of distressed real estate projects.

  • Advises small business owners/operators with respect to general corporate matters.

  • Serves as special real estate counsel on complex corporate merger and acquisition transactions. 
     
  • Assists clients in working with the City of Detroit and other municipalities with respect to land acquisition, zoning issues, condominium approval issues and other matters.
