Asset Sales and Purchases

Our professionals are experienced in representing sellers and purchasers of assets in U.C.C. Article 9 sales, receiverships, and sales under section 363 of the Bankruptcy Code. Our lawyers have represented initial bidders, often referred to as “stalking horse” bidders, and competing bidders at public and private auctions. We are experienced in negotiating the terms of purchase and sale documents, as well as the motions and orders that set the ground rules for these sales. We have successfully challenged and set aside sale procedures that did not provide our purchaser clients a fair opportunity to bid. We also work with those impacted by these sales, including lenders, landlords, customers, and suppliers to protect their rights.
